Software development services agreement

This is a simplified sample showing how I usually structure a collaboration. The final wording is always tailored to the specific project and agreed together before work starts. This template is not legal advice.

[company name or full name], [address], VAT ID: [number] — hereinafter the “Client”,

and

Arkadiusz Koszewski, [business details] — hereinafter the “Contractor”.

§1 · Subject of the agreement

  1. The Contractor undertakes to deliver to the Client [project description, e.g. a web application, system, integration], hereinafter the “Work”.
  2. The detailed scope and schedule are defined in Appendix 1.
  3. Scope changes require documented confirmation (e.g. e-mail) and may affect the deadline and remuneration.

§2 · Manner of performance

  1. The work is carried out in stages, according to the schedule in Appendix 1.
  2. The Contractor regularly, at least once every [week / two weeks], informs the Client about progress and shares working versions.
  3. The Client provides the materials and information necessary for the work within the agreed deadlines.

§3 · Remuneration

  1. The parties agree on remuneration of [a fixed fee of … PLN net / an hourly rate of … PLN net].
  2. The remuneration is payable [in full upon acceptance / in instalments after each stage], based on an invoice, within [14] days of its delivery.

§4 · Acceptance

  1. Upon completion, the Contractor submits the Work for acceptance. Within [7] days the Client either reports remarks or confirms acceptance.
  2. The Contractor fixes reported defects within a reasonable time. No remarks within the agreed period is deemed acceptance of the Work.

§5 · Copyright

  1. Upon payment of the full remuneration, the Contractor transfers to the Client the economic copyright to the Work within the scope specified in the agreement [or grants a licence — to be agreed].
  2. The Contractor retains the right to use the general knowledge and experience gained during the work, and open source components in accordance with their licences.

§6 · Confidentiality

  1. The parties undertake to keep confidential any information obtained in connection with the agreement, also after its termination.

§7 · Liability

  1. The Contractor's liability under this agreement is limited to the amount of remuneration received and does not cover lost profits.

§8 · Termination

  1. Either party may terminate the agreement with a [14]-day notice period.
  2. In such a case, the Client pays for the work completed up to the termination date, and the Contractor hands over its results.

§9 · Final provisions

  1. Matters not regulated herein are governed by the Polish Civil Code.
  2. Amendments require documented form. The parties will first attempt to resolve any disputes amicably.
